Navigator Services Terms

This is a Navigator Services Agreement (“Agreement”) between Sisyphus Consulting Pvt. Ltd. (“we,” “us,” “our”) and any individual, entity, or organization that procures our Navigator services (“you” or “your”).

1. Acceptance of Terms

By booking and paying for Navigator services, you agree to these terms. If you disagree, we cannot provide services. This Agreement supersedes prior discussions.

2. Service Overview

Our Navigator services include:

Three (3) one-hour advisory calls over one week, directly with decision-makers.
Strategic guidance on tech-related (e.g., database schema, AI tools, UX/UI) or design-related topics (e.g., mood boards, typography).
A pre-call requirement to share context (documents, assets, or data) for focused sessions.

We do not recommend our Navigator services for:

Organizations with highly developed internal design or tech practices.
Companies or individuals without specific goals or clear problems to solve.
Companies or individuals seeking ongoing, long-term consulting relationships.
Projects that do not require immediate strategic guidance or decision-making.

3. Payment

Fee: ₹15,000 (non-refundable), due upfront to reserve your slot.
Payment methods: NEFT, RTGS, IMPS, UPI, or credit card (transaction charges for credit cards/international payments are your responsibility).
No refunds under any circumstances, including unused calls.

4. Questionnaire & Preparation

After payment, we’ll send you a questionnaire to better understand your goals, challenges, and context.
You must complete and return the questionnaire at least 48 hours before the first call. Failure to do so may delay or cancel sessions without refund.
You must also share all required context (documents, assets, or data) at least 48 hours before the first call.

5. Scheduling

After receiving the filled in questionnaire and required context, we’ll share a meeting link as per mutual convenience
Calls will be scheduled during our business hours: 09:30 AM – 6:30 PM IST, Mon–Fri.

6. Cancellation & Termination

Once booked, no cancellations are permitted except for material breach by either party.
If we terminate due to your breach (e.g., non-payment, harassment), you forfeit all fees.
If you terminate without cause, 100% of fees remain due.

7. Deliverables & Ownership

You own actionable insights and plans generated during calls.
We retain rights to reusable templates, frameworks, or methodologies shared during sessions.

8. No Guarantee of Results

We do not guarantee any specific outcomes (e.g., business efficiency, leads, revenue, or performance metrics) from our services. You are responsible for implementing and acting on our recommendations. Sisyphus Consulting Pvt. Ltd. is not liable for any losses resulting from using or failing to use our recommendations.

9. Limitation of Liability

Our liability is capped at the fees paid. We are not liable for indirect, incidental, or consequential damages (e.g., lost profits).

10. Publicity

You authorize us to:

Mention your company name and describe our work (in general terms) in marketing materials.
Showcase the impact of our work (e.g., improvements in design or metrics).

If you wish to modify these publicity rights, it must be agreed upon in writing before the project begins.

11. Indemnification

You agree to indemnify us against any claims, including intellectual property disputes, arising from materials or data you provide.

12. Business Hours & Holidays

Our business hours are 09:30 AM to 6:30 PM IST, Monday to Friday.
We observe the major holidays: Indian national holidays, Diwali, Holi, and other region-specific holidays.

13. Independent Contractor

We operate as an independent contractor. No partnership, joint venture, or employment relationship is created.

14. Not Exclusive

We serve multiple clients and may work with your competitors.

15. Representations and Warranties

We warrant that our services will not knowingly infringe on third-party rights. You warrant the same for materials you provide. Except as explicitly stated, we disclaim all other warranties, including implied warranties of merchantability or fitness for a particular purpose.

16. Assignment

This agreement cannot be assigned to another party without prior consent, except in cases of inheritance or acquisition of your business.

17. Waiver

Failure to enforce any part of this agreement does not waive our right to enforce it later.

18. Modification

This agreement can only be modified in writing and must be signed by both parties.

19. Severability

If any part of this agreement is found unenforceable, the rest remains valid.

20. No Third Parties

This agreement benefits only the parties involved—Sisyphus Consulting Pvt. Ltd. and you—and no third party.

21. Force Majeure

We are not liable for delays or failures caused by events beyond our control, such as natural disasters, strikes, or emergencies.

22. Governing Law & Disputes

This Agreement is governed by Indian law. Disputes will be resolved in courts in Ahmedabad, Gujarat.

23. Headings

Headings are for convenience only and do not affect the interpretation of this agreement.

24. Entire Agreement

This document constitutes the entire agreement between you and Sisyphus Consulting Pvt. Ltd., superseding any prior agreements.
